This End User License Agreement (“Agreement” or “EULA”) is a legal agreement between The Synergy Group AG, c/o HAFIDA Treuhand AG, Dorfstrasse 59, 8126 Zumikon, Switzerland, UID CHE-497.254.492 (“Synergy,” “we,” “us,” “our”) and you (“you,” “your,” “User,” “Customer”).

This EULA governs your use of Synergy’s software applications and related services, including any connectors, plug-ins, extensions, APIs, or integrations Synergy provides (collectively, the “App” or “Apps”), including apps that connect to Intuit QuickBooks (the “QuickBooks Connector” if applicable).

By installing, accessing, or using any App, you agree to this EULA. If you do not agree, do not install or use the App.

1) Definitions

• “App” means the Synergy software you install, access, or use, including updates and documentation.
• “Services” means any hosted or cloud functionality that supports the App (if applicable).
• “Third-Party Services” means services not controlled by Synergy (e.g., QuickBooks/Intuit, Apple App Store, Google Play, cloud providers).
• “User Data” means data you upload, transmit, synchronize, or make available through the App, including accounting data where relevant.
• “Synergy Data” means information Synergy generates to operate the App (e.g., logs, diagnostics, usage metrics), excluding User Data.

2) License Grant

Subject to your compliance with this EULA, Synergy grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use the App solely for your internal personal or business purposes during the term of this EULA.

If the App is offered as a hosted service (SaaS), the “license” is your right to access and use the Services via the App.

3) Restrictions

You will not (and will not permit any third party to):

1. Copy, modify, translate, or create derivative works of the App (except as permitted by mandatory law).
2. Reverse engineer, decompile, or attempt to discover source code, underlying ideas, or algorithms (except as permitted by mandatory law).
3. Circumvent security or access controls; probe, scan, or test vulnerabilities without written permission.
4. Use the App to violate any law, regulation, or third-party rights.
5. Use the App to transmit malware, harmful code, or conduct disruptive activities.
6. Rent, lease, sell, resell, distribute, or provide the App as a service bureau or timesharing service unless Synergy expressly agrees in writing.

4) Accounts, Access, and Security

Some Apps require an account. You are responsible for:

• Maintaining accurate account information
• Keeping credentials confidential
• All activities occurring under your account

Notify us promptly of unauthorized access or security incidents affecting your account.

5) Fees, Trials, and Purchases

If an App is paid, you agree to pay the fees shown at purchase/checkout or in a written order/statement of work. Unless required by law or stated otherwise in writing:

• Fees are non-refundable once paid.
• Taxes are your responsibility (except where Synergy is legally required to collect them).

If the App is obtained via a marketplace (e.g., Apple/Google/other), that marketplace’s payment terms may apply.

6) Updates and Changes

Synergy may provide updates, patches, or new versions. You agree that:

• Updates may be installed automatically where supported and permitted
• Some changes may modify or remove features
• Continued use after an update constitutes acceptance of the updated App

Synergy may also modify or discontinue an App or part of the Services, subject to applicable law and any written commitments.

7) User Data, Privacy, and Data Processing

1. Your responsibility for User Data. You are responsible for the accuracy, legality, and integrity of User Data and for maintaining backups.
2. Permission to process. You grant Synergy permission to process User Data solely to provide, secure, and improve the App and Services.
3. Privacy policy. Where applicable, Synergy’s privacy policy (as published on our website) explains how we handle personal data.
4. Data security. Synergy uses reasonable administrative, technical, and organizational measures to protect data, but no system can be guaranteed 100% secure.
5. Data retention. Synergy may retain User Data for as long as needed to provide the App and comply with legal obligations, resolve disputes, and enforce agreements. Where feasible and legally allowed, Synergy will delete or anonymize User Data upon termination and after a reasonable period, unless you request earlier deletion and it is practicable.

8) QuickBooks / Intuit Integration (If Applicable)

If you use any Synergy App that connects to QuickBooks or other Intuit services:

1. No affiliation. Synergy is an independent provider. Intuit and QuickBooks are third-party services. All Intuit/QuickBooks trademarks belong to their respective owners.
2. Your Intuit agreement. Your use of QuickBooks is governed by your agreement(s) with Intuit. You are responsible for maintaining an active QuickBooks account and complying with Intuit’s terms.
3. Authorization and scopes. You authorize Synergy to access, process, and (where applicable) write data to QuickBooks only to the extent you approve during the connection/consent flow (e.g., OAuth authorization).
4. Data sync behavior. You acknowledge that syncing may create, modify, or delete records in QuickBooks depending on configuration. You are responsible for:
   • Confirming mappings/settings before enabling sync
   • Reviewing results, especially on first sync
   • Keeping backups and audit controls suitable for your business
5. Third-party availability. Synergy is not responsible for outages, errors, changes, or discontinuation of QuickBooks/Intuit APIs, authentication, or service availability.
6. Regulatory and accounting responsibility. The App is a technical tool and does not provide accounting, tax, or legal advice. You are responsible for compliance, filings, and record-keeping.

9) Intellectual Property and Feedback

1. Ownership. The App (including code, design, and documentation) is owned by Synergy and/or its licensors and protected by intellectual property laws.
2. Feedback. If you provide suggestions or feedback, you grant Synergy a worldwide, irrevocable, royalty-free right to use it without restriction.

10) Open-Source and Third-Party Components

The App may include open-source software or third-party components governed by separate licenses. Those licenses may grant you additional rights and will control over this EULA to the extent of any conflict regarding those components.

11) Support and Service Levels

Unless Synergy provides a separate written support or service level agreement (SLA):

• Support is provided on a commercially reasonable basis (or “as available”)
• Synergy does not guarantee response or resolution times

12) Term and Termination

1. Term. This EULA begins when you first install or use the App and continues until terminated.
2. Termination by you. You may terminate by discontinuing use and uninstalling the App and/or closing your account (if applicable).
3. Termination by Synergy. Synergy may suspend or terminate your access if you breach this EULA, misuse the App, or create security/legal risk.
4. Effect of termination. Upon termination:
   • Your license ends immediately
   • You must stop using the App and delete/uninstall copies you control
   • Sections intended to survive (e.g., IP, disclaimers, liability limits) will survive

13) Warranty Disclaimer

To the maximum extent permitted by law, the App and Services are provided “AS IS” and “AS AVAILABLE.” Synergy disclaims all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Synergy does not warrant that the App will be uninterrupted, error-free, or compatible with all systems, or that any data synchronization will be complete or accurate in every instance.

14) Limitation of Liability

To the maximum extent permitted by law:

1. Synergy will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, business interruption, or loss/corruption of data.
2. Synergy’s total liability arising out of or relating to this EULA or the App will not exceed the fees you paid to Synergy for the App in the 12 months preceding the event giving rise to the claim (or CHF 100 if no fees were paid).

Some jurisdictions do not allow certain limitations; in such cases, these limitations apply to the maximum extent permitted.

15) Indemnity

You will defend, indemnify, and hold harmless Synergy, its officers, directors, employees, and agents from claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from:

• Your breach of this EULA
• Your User Data
• Your misuse of the App or violation of law or third-party rights

16) Compliance, Export, and Sanctions

You agree to comply with all applicable laws and regulations related to your use of the App, including data protection laws, export control laws, and sanctions regulations (where applicable).

17) Governing Law and Jurisdiction

This EULA is governed by the substantive laws of Switzerland, excluding its conflict-of-laws rules.

Exclusive jurisdiction for disputes arising from or relating to this EULA is the competent court at Zurich, Switzerland, unless mandatory law provides otherwise.

18) Changes to this EULA

Synergy may update this EULA from time to time. If changes are material, we will provide reasonable notice (e.g., in-app notice or on our website). Your continued use after the effective date of an updated EULA constitutes acceptance.
